1. Agreement to Terms
By accessing or using the Atherova website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services
Atherova provides AI-powered automation and systems orchestration services for business operations, including but not limited to:
- Lead follow-up and booking automation
- Customer support triage and routing
- CRM and pipeline management automation
- Internal operations handoffs and reporting
- Dashboard creation, alerts, and operational visibility
- Managed automation system maintenance and optimization
3. Eligibility
You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization. By using our Services, you represent and warrant that you meet these eligibility requirements.
4. User Accounts and Registration
To access certain Services, you may be required to provide information about yourself and your organization. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as necessary
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
5. Service Engagement and Pricing
5.1 Custom Pricing
Pricing for our Services is custom and based on your specific workflows, tools, and operational complexity. All engagements begin with a discovery conversation to ensure accuracy and long-term reliability.
5.2 Service Agreements
Specific terms of service delivery, pricing, timelines, and deliverables will be outlined in a separate Service Agreement or Statement of Work (SOW). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.
5.3 Payment Terms
Payment terms will be specified in your Service Agreement. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest charges and may result in suspension of Services.
6. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit harmful, offensive, or inappropriate content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services or servers
- Use our Services to send spam or unsolicited communications
- Reverse engineer or attempt to extract source code
- Resell or redistribute our Services without authorization
7. Intellectual Property Rights
7.1 Atherova Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and automation workflows, are owned by Atherova and protected by copyright, trademark, and other intellectual property laws.
7.2 Client Data
You retain all rights to your data and content. By using our Services, you grant Atherova a limited license to access, process, and use your data solely for the purpose of delivering Services to you.
7.3 Custom Automation Systems
Ownership of custom automation systems developed for you will be specified in your Service Agreement. Generally, you receive a license to use the systems, while Atherova retains rights to underlying methodologies and reusable components.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives termination of the Services.
Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.
9. Service Level and Availability
While we strive to provide reliable and continuous Services, we do not guarantee uninterrupted access. We reserve the right to:
- Perform scheduled maintenance with advance notice
- Make emergency updates or repairs as needed
- Modify or discontinue features with reasonable notice
Specific service level commitments will be outlined in your Service Agreement.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.
10.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that our Services will be error-free, secure, or uninterrupted, or that defects will be corrected.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHEROVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ATHEROVA IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Atherova and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your data or content.
13. Term and Termination
13.1 Term
These Terms remain in effect while you use our Services. Specific engagement terms will be outlined in your Service Agreement.
13.2 Termination by You
You may terminate your use of our Services at any time by providing written notice. Termination terms and any applicable fees will be specified in your Service Agreement.
13.3 Termination by Us
We may suspend or terminate your access to our Services immediately if you violate these Terms or for any other reason with reasonable notice.
13.4 Effect of Termination
Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, and limitations of liability) will survive.
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us at help@atherova.com to attempt to resolve the dispute informally.
14.2 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
14.3 Jurisdiction
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending email notification for significant changes
Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, together with any Service Agreement, constitute the entire agreement between you and Atherova regarding our Services.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
